Soto Kudus Menara restaurant, which is a family ownership business, is established with the aim to preserve traditional culinary of Indonesia. The first branch, which has been established in 1997, has growth rapidly. Therefore, the founder was motivated to establish the other branches. Todays, there are ten branches which are spread over Province of Banten, Province of DKI Jakarta, and one <br /> <br /> <br /> branch in Bandung city. The business development has been a reason why the owner should hold a succession planning to preserve the company existence and family harmony. <br /> <br /> <br /> In family business, the retirement of the founder and the incoming of new family member can cause a problem in the company. By the reason, a succession needs a legal structure planning which arrange rights and obligations of family members. This current issue in family business <br /> <br /> <br /> involves the aspects of business, family members, and founder. The solution for the issue is making a plan of legal structure which arrange the rights and obligations of each family member. <br /> <br /> <br /> This final project does identification and evaluation of legal structure which appropriate to be implemented in Soto Kudus Menara restaurant. The next step is to decide the rights and obligations successors which related to organization structure and profit sharing. The methods used in this project are doing a literature studies and family interview. <br /> <br /> <br /> There are four types of legal structure which involve the sole proprietorship, the partnership, the corporation, and franchise. The form of legal structure will be evaluated based on internal and external current conditions. The method of Quantitative Strategic Planning Matrix (QSPM) is used to evaluate the possible strategies by computing the score attractiveness. The <br /> <br /> <br /> highest score indicates the most attractive strategy. <br /> <br /> <br /> The result of the study is that Soto Kudus Menara is appropriate to implement the form of corporate which uses the form of CV legal. The implementation plan involves the decision of legal structure, the changing of legal structure, next leader training, and socialization of succession. The structure of ownership is equal size among the family members. The potential resistance which may happen is the employees’ unwillingness to accept new leader. Thus, the implementation of succession not only needs collaboration of founder and family members, but also all the employees and other stakeholders. text |
