Summary:This study is confirmatory studies to examine the influence of learning organization behaviour and knowledge based governance on good corporate governance. To determine the dimensions of learning organization, a research was conducted based on the Marquardt model. In this model, each dimension of learning organization, consist of learning, organizations, stakeholders, knowledge, and technology. To determine the dimensions of knowledge sharing, this research adopted the guideline of a model by Busco et al. This model has the dimensions of knowledge sharing, namely knowledge based governance. The existence of this continuum enables every dimension of the learning organization to know where the real effect, according to the process of knowledge sharing within the company. Based on this, it is also possible to determine the effect of knowledge based governance, in accordance with the latent variables that are used from a good corporate governance. The study proposes nine hypotheses to be tested empirically through survey methods using questionnaires for the three State Owned Enterprises (SOEs) that have been implementing good corporate governance. Based on the results of empirical studies in several SOEs, which became the study samples, then the form of learning organizations from corporate that implement good corporate governance is the emphasis on the following factors : <br /> <br /> <br /> a. An Organization Transformation consisting of aspects culture, vision, strategy, and structure <br /> <br /> <br /> b. Stakeholders Empowerment, consisting of aspects managers and leaders, employees, business partners <br /> <br /> <br /> c. Knowledge Management consisting of aspects acquisition, creation, storage, analysis, and data mining, transfer, application and validation <br /> <br /> <br /> d. Knowledge based Governance consisting of aspects organizational climate, training, talent management, and communication. <br /> <br /> <br /> e. Board Accountability consisting of aspects compliance, a meeting of directors, corporate governance guidelines <br /> <br /> <br /> f. Shareholder Rights consisting of aspects voting rights, participant, and period <br /> <br /> <br /> g. Executive Compensation consisting of aspects remuneration committee, performance indicators, and employee stock ownership program <br /> <br /> <br /> h. Internal Controls consisting of aspects audit committee, the educational background members of audit committees, external oversight, and transparency
