Summary:The mining sector is facing uncertainty starting from commodity prices, regulations, etc. To deal with these uncertainties, companies need to review the extent to which good corporate governance is implemented. Good corporate governance is central to build strong company’s foundation. Good corporate governance relies on principles of fairness, responsibility, transparency, and accountability. PT. X is one of the company that engaged in that sector that not yet implementing good corporate governance. Now PT. X want to change for the better. This descriptive qualitative research use the primary data which obtained through interviewing and observing. Also the secondary data in form of company’s documents. First is the assessment of current corporate governance from point of view of principles of fairness, responsibility, transparency, and accountability. Second is assessment of the readiness to change by using force-field analysis. Third is developing the steps of change by using kotter’s 8 stage model. From the analysis, the company no yet fulfil the principle of transparency and accountability. For a company to change is not as easy as an individual because it involves many people. it must be planned step by step to reach the target of change. The implementation steps will start in mid-June until the end of 2019.
