Summary:PT (Persero) Angkasa Pura II is one of the State Owned Companies that runs Airport & Air Traffic Services business officially since established in 1993 . To date, the company has 10 airports to manage which are located across the islands in the west Indonesian region. The increasing trend in air traffic in Indonesia as a result of deregulation in the aviation industry, such as the emergence of Low Cost Carriers, has taken up number of passangers drastically. Further more, issues concerning the srinking airport capacity to accomodate the aircraft and passanger movements; safety and security as well as political issues - such as the New Aviation Act to replace the 1992 Aviation Act are challanges with some form of risks which Angkasa Pura II should be aware of In facing this condition, APII must make arrangement and develop strategies such as by taking in other potential airports so as to widen market share and thus create barriers to entry for competitors. One of the strategies is the transfer of Airport Depati Amir Pangkal Pinang in Bangka Belitung Province. The process of the transfer has already arrived in the stage of handing over from the government (Directorate General Air Communication) to Angkasa Pura II Thus, once the process of taking-over is finalized, then PT Angkasa Pura II will bear all the risks as the result of its operations. Risk management is believed to be a dependable method in coping with the risks mentioned above. Therefore, Enterprise risk management (ERM) is one approach used to manage the risks in association with Angkasa Pura's efforts to deal with the risks in taking over the operations of Depati Amir Airport. ERM is a risk management cycle that starts from identification process, and then continued by the process of assessment and measurement of the risks, and finally ended by controlling and monitoring the associated risks. In this study, the risks in conjunction with the transfer of the airport operations is initially identified and assessed. Next is to carry out analysis of dominant factors that influence the success of the take-over. To come up with risk ranking, the assessment of these risks is then calculated. This step is done by drawing a risk map by employing the probability-impact matrix. The result of the analysis shows that the main factors in the transfer of the Airport management of Depati Amir are the culture that resides in the area, business strategy developed by Head Office, together with human resources as well as financial management. Those are the areas of emphasis that need to be taken care of in order to eliminate and reduce the risks in association with the transfer of the Airport management of Depati Amir-Pangkal Pinang.
