PT. PD is the minority shareholder in PT. XYZ with 7,4% share. The reason of having it share is PT. XYZ have synergy business with PT. PD and give add-value for PT. PD. <br /> <br /> <br /> <br /> <br /> <br /> <br /> The business of PT. XYZ doesn't synergy with business of PT. PD, because of change the strategy PT. PD, which leave electric power plant (electric generator) business and PT. PD focus on commercial explosive business, developing of military product and optimizing production facilities for commercial product. <br /> <br /> <br /> <br /> <br /> <br /> <br /> Result of evaluation from previously financial performace, indutrial structure, macro economic condition in Indonesia, and long-them planning of financial performance, as follows : <br /> <br /> <br /> <br /> a. PT. XYZ has increased the value of enterprise until 2006. <br /> <br /> <br /> <br /> b. The company is in tight competitive condition in the future, although opportunity of growth is higher. <br /> <br /> <br /> <br /> c. The company will decrease the value, because projected sales for 6 years ahead doesn't match with planning of using its operating working invested capital. The company can create value for shareholders if the projected sales is more higher or minimize of using its operating invested capital <br /> <br /> <br /> <br /> <br /> <br /> PT. PD, as a minority shareholder has 3 options :Its holding out for its share, selling its share in the right time or increasing its share. The best benefit for PT. PD is selling the whole share. If it hard to be realized, so second option is holding out the share, with changing the policy of using operating invested capital. <br /> <br />
