Summary: | This thesis aims to: 1. Provide an overview or description of the arrangements relating to the status and legal position of director of a Limited Liability Company reviewed from the Third Book Provision of the Civil Code, the Limited Liability Company Law (the Company Law) and the Manpower Act. 2. Provide an overview or explanation of provisions which must be obeyed if it appears the problems associated with the legal status and legal position of director of the Limited Liability Company. To achieve the above objectives, beside conducting the normative legal research, then also conducting research addressed to the Head of Legal Department of Manpower and Transmigration and the client of the Office of Legal Counsel Ali Budiardjo, Nugroho, Reksodiputro (ABNR) that is purposively selected ie the company client that established based on the Foreign Investment Law and engaged in manufacturing busniness. From the description above or from this research we can conclude as follows: 1. The legal status and the legal position of Director reviewed from the Third Book Provision of the Civil Code, the Company Law and the Manpower Act indicate that there are no clear and definite regulations on the legal status and legal position of Director in the above legislation. 2. The Director of Limited Liability Company is legally subject to an authorization agreement of shareholder as stipulated in the corporate law and not subject to the Manpower Law considering the director is not a worker as mentioned (i) in the recent Circular Letter issued by the Ministry of Manpower and (ii) a Director is included in definition of entrepreneurs as stipulated in the Manpower Law. |
