| Summary: | This research was conducted to identify the mechanism of registration of
limited liability company stipulated in the 1982 Law Number 3 and the required
2007 Law Number 40, and the position of Compulsory Register of Companies
in the mechanism of establishment of limited liability in connection with the
publication of the new Law on Limited Liability Company replacing the older
1995 Law Number 1 which relates it with to the Compulsory Register of
Companies, while the 2007 Law number 40 has stipulated the Registration of
Company and no longer is associated with the Registration of Companies.
This was an empirical normative research, namely a research with
approach based on regulation or legislation combined with field research related
to the mechanism issuance of Compulsory Register of Companies, namely in
the Badan Pelayanan Perizinan Terpadu dan Penanaman Modal (BP2T dan PM)
of Banjarmasin Municipality, and issuance mechanism of the Establishment of
Limited Liability Company in the notary office and banks in Banjarmasin
Municipality.
The results of this research showed differences in the mechanism of
companies as regulated by the 1982 Law Number 3 and the 2007 Law Number
40 in terms of registered subjects. According to the 1982 Law Number 3, the
registration of limited liability can be performed by the Director or his/her
attorney to Badan Pelayanan Terpadu dan Penanaman Modal of Banjarmasin
Municipality as the Head Office of Company Registrar. While in the 2007 Law
Number 40 the applicants involve those establishing the company providing full
authorization using the notary services through SABH and it is regulated by the
Minister of Justice and Human Rights cq. the Directorate General of General
Legal Administration in conjunction with the Legalization of Limited Company. |
