Summary: | This article summarizes a series of research studies into boards of directors from 1992 to 1995. Over 80 CEOs and corporate directors, representing some 40 companies in 23 industries, were interviewed or surveyed. Together, these directors represent more than 200 past and present board seats. The firms they direct range in size from $10 million to $17 billion in gross sales, and include 14 which are listed in the Fortune 500. The objective of this research was to learn more about board processes—how boards do things—from the perspective of directors themselves. Of particular interest were: what directors see as the primary roles and responsibilities of the board and of individual directors; how directors are selected and evaluated; what determines how long directors serve on a board; what role multiple-board memberships play in important board processes. |
